Affiliate Agreement
To participate in the PlanetSoho Affiliate Program, you must agree to the following:
This Affiliate Agreement ("Agreement") contains the complete terms and conditions between us, PlanetSoho, and you, regarding your application to participate as an affiliate of PlanetSoho ("Affiliate"), and the establishment of links from your website to our website, planetsoho.com.
By filling out the signup form, you acknowledge that you have read and agree with the terms and conditions associated with this affiliate program.
Joining Our Affiliate Program
By filling out the signup form, you are expressing interest to become an affiliate and are bound by the terms of this agreement. A representitive of PlanetSoho will then contact you to finalize the work process and approve your eligibility for an affiliate account. Once approved, You will receive login credentials into the PlanetSoho affiliate control panel, where you will find available marketing materials and guidelines on how to promote PlanetSoho.
Commission Fees
For a User Subscription to generate a commission to The affiliate, the user must complete the registration form, complete a full login into the PlanetSoho platform and perform a purchase of the PlanetSoho service package.
Affiliate will receive $50 per user purchase of PlanetSoho services (Hereafter: "User Subscription") as commission. Payments to affiliates will be made via PayPal at the end of the month following the User Subscription. For clarification purposes, if a user subscribes to PlanetSoho services in the beginning of August and deemed none fraudulant, payment will incur at the end of the month of September.
Since subscription to PlanetSoho services is based on a monthly subscription, a random check of the quality of users will be conducted periodically.
Should PlanetSoho see that the quality of User Subscriptions, as described above, does not match up with the quality expected, PlanetSoho reserves the right to terminate the agreement immediately and payment will be stopped pending enquiry.
PlanetSoho reserves the right to withhold commission fees for User Subscriptions that are potentially fraudulent as determined by PlanetSoho at its sole discretion.
PlanetSoho reserves the right to suspend payment of Commission Fees at any time and indefinitely, if it suspects fraud or other improper activity or a potential breach of any of the terms in this Agreement by the affiliate. PlanetSoho reserves the right to deduct from affiliate's current and future Commission Fees any and all Commission Fees corresponding to any fraudulent and questionable user subscriptions.
PlanetSoho, at its sole discretion, reserves the right to withhold indefinitely any Commission Fee, and/or to reverse, deny or reject any Commission Fee, for:
- Any user subscription, which has not been in an approved status in good standing as an account of PlanetSoho for a period of at least thirty (30) days.
- All commissions generated for accounts that may be fraudulent, including but not limited to the use of software that generates real and fictitious information.
- If we deem subscriptions to be fraudulent or see a pattern of potentially fraudulent activity, including, without limitation, where there are multiple accounts from the same IP, or referral of accounts which do not comply with this Agreement. We review account information (including site content) to assess referrals.
- Altering PlanetSoho Links in any way.
- Affiliates whom PlanetSoho believes may be artificially submitting user subscriptions, engaging in the advertisement of business-opportunity sites (as determined by PlanetSoho in its sole discretion), using marketing practices that we deem to be unethical or likely to attract fraudulent subscriptions.
- All suspicious activities in regards to User Subscriptions, including but not limited to, credit card fraud or any other suspected fraud activity at PlanetSoho's sole discretion.
Website Restrictions
PlanetSoho reserves the right not to accept any site into this online promotion agreement based on site content. Sites that do not qualify include sites such as:
- X- rated and promote sexually explicit materials
- Promoting violence and discord.
- Promoting discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age
- Promoting illegal or questionable activities
- Violating intellectual property rights
SPAM (UCE)
Unsolicited Commercial E-mail – The affiliate will in no way participate in mass unsolicited e-mailing (i.e. spamming). This agreement does not constitute authorization for the affiliate to perform any kind of marketing efforts that include email message sending without prior written consent from PlanetSoho. Violation of this policy will result in the termination of this contract, with no refund. If the affiliate wishes to engage in email marketing with PlanetSoho, a different agreement will be negotiated and entered, if PlanetSoho wishes so.
Modification
By sending a Change Notice, PlanetSoho may modify any of the terms and conditions within this Agreement at any time and at our sole discretion. These modifications may include, but not limited to changes in the scope of available referral fees, fee schedules, payment procedures and Program rules. If any of the modifications are UNACCEPTABLE TO YOU, your only recourse is to terminate this Agreement. If you CONTINUE PARTICIPATION following the posting of a Change Notice or new agreement, it will be considered as your acceptance of the change.
Disclaimer
PlanetSoho makes no express or implied warranties or representations with respect to your potential to earn income from the promotion agreement. In addition, we make no representation that the operation of our site or the Affiliate Sites will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or down time.
The laws of the United States and the District of California will govern this Agreement, without reference to rules governing choice of laws. Any action relating to this Agreement must be brought in the Federal or State courts located in California, and you irrevocably consent to the jurisdiction of such courts. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and enforceable against the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement.
By accepting this agreement, you acknowledge that you have read this agreement and agree to all its terms and conditions. You have independently evaluated and are not relying on any representation, guarantee, or statement other than as set forth in this agreement.
